These General Terms and Conditions (hereinafter referred to as “T&C”) of LumiraDx and its Affiliates (hereinafter referred to as “LumiraDx”) shall apply to all sales and deliveries made by LumiraDx to a customer. A customer acknowledges by placing an order or by accepting product delivery the applicability of the T&C. The T&C shall also apply to all future transactions with the same customer. General terms and conditions of the customer, if any, shall in no event apply even if LumiraDx has not expressly rejected them. These T&C shall apply only vis-à-vis companies, entrepreneurs, public law governed legal persons or public law funds.
2.1 LumiraDx’s offers are nonbinding and subject to change. A contract becomes only effective upon written confirmation of a customer order by LumiraDx. The content of the contract shall be based exclusively on the order confirmation and these T&C. Verbal arrangements of any type are nonbinding and require confirmation in writing by LumiraDx to become binding.
2.2 LumiraDx reserves all rights to the sales documentation (including illustrations, drawings, weight and dimension information) and the samples and designs. They shall not be disclosed to third parties and shall be immediately returned to LumiraDx upon request. Such documents may only be disclosed to third parties upon prior written consent of LumiraDx.
2.3 Members of LumiraDx’s sales organization are not authorized to conclude, amend, terminate agreements or to make binding statements relating to products or other terms and conditions.
3.1 Delivery terms and dates shall only be binding if confirmed in writing by LumiraDx, and if the LumiraDx has been provided timely with all information and documentation required for the delivery, and if agreed down payments have been paid. Any agreed delivery terms shall commence upon the date of the confirmation of order. In case of later order changes, delivery terms shall be extended accordingly.
3.2 Unless otherwise agreed with the customer, LumiraDx will ship the products to the customer. To the extent that regular delivery intervals of reagents have been agreed, LumiraDx shall dispatch them in case of agreed delivery from the German LumiraDx warehouse by the 6th business day of each delivery month.
3.3 In case an event occurs for which LumiraDx bears no responsibility like events that cannot be foreseen, are unavoidable or that are beyond LumiraDx’s sphere of influence including Acts of God, war and natural disasters, LumiraDx shall be released for the period of such event from its obligation to deliver and perform timely. Agreed delivery dates shall be extended by the period of such event; LumiraDx will inform the customer in such case adequately. Either Party may withdraw from a contract if the period for which such event lasts cannot be foreseen or if such event continues for more than two months.
3.4 In case of customer’s (i) default of acceptance or (ii) violation of cooperation obligations LumiraDx shall be entitled to store the products adequately at customer’s risk and costs. Without prejudice to its other rights, LumiraDx shall be entitled to withdraw from the contract if an adequate deadline being set for the acceptance of the products expires unsuccessfully.
3.5 If justified LumiraDx shall be entitled to partial deliveries to the extent reasonable.
4.1 LumiraDx may determine the type of shipment. Except if agreed otherwise, all products will be shipped LumiraDx Ex-Works, LumiraDx’s point of shipment (Incoterms 2010)
4.2 Unless agreed otherwise with the customer, the risk of accidental loss or deterioration by chance transfers to the customer upon LumiraDx having handed over the products to the carrier, shipper or any other person or institution appointed to effect the shipment.
4.3 Insurance shall be obtained only upon request and at the expense of the customer.
4.4 Delivery and insurance charges will be added to the contract price of the goods and shall be payable at the same time and upon the same terms as the contract price of the goods. Delivery and insurance charges will be notified to the customer on or after the contract date.
5.1 Unless a specific product price was agreed upon, LumiraDx’s latest pricelist (as amended from time to time) shall apply. LumiraDx reserves the right for a price adjustment in case a delivery is made later than 4 months as from the contract date for reasons the customer is responsible for.
5.2 Each invoice shall be due for payment into the indicated bank account within 30 days as from the invoice date without deduction. Payment means receipt of payment by LumiraDx. VAT is always applicable unless a valid VAT exemption certificate is provided to the supplier.
5.3 To the extent payment default has not been caused by a reminder of LumiraDx, the customer will be in any case in payment default as from 30 days upon due date and receipt of the invoice.
5.4 In case of payment default LumiraDx may charge interest of 4 % p.a. above base interest rate as set by the Bank of England (as applicable from time to time) per annum. All rights to claim for additional default damages shall remain unaffected.
5.5 If it becomes evident to LumiraDx after conclusion of a contract that the performance capability of a customer is at risk, LumiraDx shall be entitled to deliver open orders only against payment in advance or deposit. If requests for advance payment or deposit are not settled within a reasonable deadline, LumiraDx shall be entitled to withdraw from the contract entirely or partially without prejudice to any of its other rights.
5.6 The customer shall only be entitled to set off its counter-claims if undisputed or having become res judicata.
5.7 The ordering party is only entitled to enforce a right of retention if its counter-claim is based on the same contract and is undisputed or has been recognized by declaratory judgment.
5.8 LumiraDx reserves the right to request advance payments of the invoice amount prior to delivery of the ordered product.
6.1 Customer’s warranty rights shall only exist if a customer has duly performed a reasonable inspection and notified LumiraDx of any identified issues.
6.2 In each case of a customer complaint regarding defects, LumiraDx shall have the right to inspect and examine the respective products. The customer shall grant LumiraDx adequate time and opportunity to do so. LumiraDx may instead request from the customer to return the products at LumiraDx’s costs. In case of a return request, the products must be disinfected and all applicable specific hazard regulations must be observed. If the customer complaint turns out to be unjustified due to intent or gross negligence, the customer shall be obliged to compensate LumiraDx for all the costs caused in this context – e.g. travel and fitter expenses or shipping costs.
6.3 In case of statutory warranty LumiraDx is entitled to rectify defects at its option by means of either free of charge repair or by replacement delivery of a defective item or by free of charge replacement delivery of the entire defective product.
6.4 The customer shall grant LumiraDx adequate time and opportunity to rectify defects.
6.5 If LumiraDx has replaced parts, the ownership of the replaced parts shall transfer to LumiraDx.
6.6 LumiraDx assumes no liability for damages caused by inappropriate or improper use, faulty assembly, faulty commissioning, faulty treatment or faulty installation by the ordering party or resulting from normal wear and tear unless LumiraDx is responsible for such damage.
6.7 Material, shipment and personnel costs caused by a rectification of defects (repair, replacement delivery) shall be borne by LumiraDx provided the notified defect has been established.
6.8 If the rectification of a defect (repair, replacement delivery) fails, the customer, at its option, may withdraw from the contract or request an adequate reduction of the price.
6.9 The warranty limitation period for newly manufactured products shall be 12 months and for used products 6 months as from delivery. Test strips shall be as per product specifications provided.
6.10 All further claims of the customer shall be excluded unless otherwise provided for in Section 7.
6.11 If and to the extent that product labeling / inserts refer for specific products to a longer warranty limitation period than stipulated in Section 6.9, such longer warranty limitation period shall apply in favor of the customer.
6.12 Test strips and consumables have a limited shelf life or, respectively, a expiration date which are indicated on the product packaging and/or in the product information and/or in product manual. Such products may in no event be used after the expiration of the shelf life or, respectively, after expiration date.
7.1 LumiraDx shall be liable
(i) for damages caused intentionally or gross negligent by LumiraDx or its directors or vicarious agents ;
(ii) for damages caused by the violation of essential contractual obligations due to slight negligence, the damage shall however be limited to such damage amount being foreseeable in context with such contract;
(iii) for damages under the regulations of mandatory liability law;
(iv) for personal injuries culpably caused by LumiraDx or its directors or agents.
7.2 LumiraDx shall not be liable for damages if none of the categories set forth in Section 7.1 applies. In particular LumiraDx will not be held liable for the consequences of incorrect modification or treatment of the goods nor – particularly where medical technology devices are concerned – for the damage caused through the use of unsuitable reagents, nor for the consequences of inadequate maintenance on the part of the purchaser or a third party, and not for any defects attributable to normal wear and tear or transport.
7.3 Clauses 7.1 and 7.2 shall apply to all claims for compensation, irrespective of their legal grounds, and in particular also to any liability resulting from tortious acts, a positive violation of contractual duty and fault during contract negotiations.
7.4 The ordering party is obliged to take appropriate action to prevent or mitigate the damage.
8.1 With regards to the use or purchase of software, the terms of the end user agreements (EULA’s) - including but not limited to the LumiraDx Platform Software license - with regards to such software shall apply .
8.2 Customer shall purchase the products for its own use only,and shall not resell or transfer the products to any other party. Customer represents it has evaluated the products and that they are acceptable and clinically suitable for its intended purposes.
8.3 In case of non-payment with regards to LumiraDx products and/or services LumiraDx shall be entitled to suspend or terminate access or use of the LumiraDx Instruments until payment is made.
8.4 Trademarks and Trade Names. All sales and rentals are made with the understanding that LumiraDx trademarks, Trade Names and original packaging will not be misused.
If the customer sells delivered products either in an unchanged form or after having combined them with other goods, the customer shall indemnify LumiraDx internally from product liability claims of third parties to the extent the customer is liable for the default causing liability vis-à-vis third parties.
If the customer determines how LumiraDx shall manufacture products to be delivered by means of instructions, information, documents, drafts or drawings, the customer shall be responsible that the rights of third parties including such as patents, utility models or other intellectual property rights and copyrights will not be violated by LumiraDx. The customer shall indemnify LumiraDx from all claims of third parties, who may enforce them against LumiraDx as a result of such a violation.
11.1 Changes and amendments to the contract and/or these T&C as well as side agreements require written form. This shall also apply to this Section 11.1.
11.2 If a provision of this contract and/or these T&C should be entirely or partially be invalid or ineffective, this shall not affect the validity or effectiveness of the remaining provisions. In this case, the parties are obliged to replace the invalid and ineffective provision with a valid and effective provision which comes as closest as possible to the intended commercial purpose of the invalid or ineffective provision. If and to the extent that terms and conditions including warranties and warranty limitations contained in product labeling and/or product inserts conflict with these T&C, the T&C shall have priority except in cases referred to in Section 6.11.
11.4 This contract shall be governed by and construed in all respects in accordance with the laws of England and Wales and the customer hereby submits for all purposes of and in connection with this contract to the exclusive jurisdiction of the Scottish Courts.
Geldig met ingang van 1 Januari 2023
Deze Algemene voorwaarden (hierna aangeduid als “AV&C””) van LumiraDx en haar Gelieerde ondernemingen (hierna aangeduid als “LumiraDx”) zijn van toepassing op alle verkopen en leveringen door LumiraDx aan een klant. Een klant erkent door het plaatsen van een bestelling of door het accepteren van productlevering de toepasselijkheid van de AV. De AV zijn ook van toepassing op alle toekomstige transacties met dezelfde klant. De algemene voorwaarden van de klant, indien van toepassing, zijn in geen geval van toepassing, zelfs niet als LumiraDx deze niet uitdrukkelijk heeft afgewezen. Deze AV zijn alleen van toepassing op bedrijven, ondernemers, rechtspersonen die onder het openbaar recht vallen of fondsen die onder het openbaar recht vallen.
2.1 De aanbiedingen van LumiraDx hebben een niet-bindend karakter en kunnen worden gewijzigd. Een contract wordt alleen van kracht na schriftelijke bevestiging van een klantbestelling door LumiraDx. De inhoud van het contract is uitsluitend gebaseerd op de orderbevestiging en deze AV. Mondelinge regelingen van welke aard dan ook zijn niet bindend en kunnen alleen middels een schriftelijke bevestiging door LumiraDx bindend worden gemaakt.
2.2 LumiraDx behoudt zich alle rechten voor op de verkoopdocumentatie (inclusief illustraties, tekeningen en informatie over gewicht en afmetingen) en de monsters en ontwerpen. Deze mogen niet aan derden worden bekendgemaakt en moeten op verzoek onmiddellijk aan LumiraDx worden geretourneerd. Dergelijke documenten mogen alleen aan derden ter kennis worden gebracht na voorafgaande schriftelijke toestemming van LumiraDx.
2.3 Leden van de verkoopafdeling van LumiraDx zijn niet bevoegd om overeenkomsten te sluiten, te wijzigen, te beëindigen of bindende verklaringen af te leggen met betrekking tot producten of andere algemene voorwaarden.
3.1 Leveringsvoorwaarden en -datums zijn alleen bindend indien schriftelijk bevestigd door LumiraDx, indien aan LumiraDx tijdig van alle informatie en documentatie is verstrekt die vereist is in het kader van de levering en mits de overeengekomen aanbetalingen zijn betaald. Eventuele overeengekomen leveringsvoorwaarden gaan in op de datum van de orderbevestiging. In geval van latere orderwijzigingen worden de leveringsvoorwaarden dienovereenkomstig verlengd.
3.2 Tenzij anders overeengekomen met de klant, zal LumiraDx de producten naar de klant verzenden. Voor zover er regelmatige leveringsintervallen van reagentia zijn overeengekomen, zal LumiraDx deze in geval van overeengekomen levering vanuit het Duitse LumiraDx-magazijn op de 6e werkdag van elke leveringsmaand verzenden.
3.3 In het geval dat er zich een gebeurtenis voordoet waarvoor LumiraDx geen verantwoordelijkheid draagt zoals gebeurtenissen die niet kunnen worden voorzien, onvermijdelijk zijn of die buiten de invloedssfeer liggen van LumiraDx, met inbegrip van overmacht, oorlog en natuurrampen, wordt LumiraDx voor de duur van een dergelijk voorval ontheven uit haar verplichting om tijdig te leveren en te presteren. Overeengekomen leverdata worden voor de duur van een dergelijk voorval verlengd; LumiraDx zal de klant in een dergelijk geval op adequate wijze op de hoogte stellen. Elke Partij mag zich terugtrekken uit een contract als de duur van een dergelijk voorval niet kan worden voorzien of als een dergelijk voorval langer dan twee maanden duurt.
3.4 In het geval van (i) verzuim zijdens de klant om de producten te aanvaarden of (ii) schending zijdens de klant van de samenwerkingsverplichtingen, heeft LumiraDx het recht om de producten op gepaste wijze op te slaan op risico en kosten van de klant. Onverminderd haar overige rechten, heeft LumiraDx het recht om de overeenkomst te herroepen bij het vruchteloos verlopen van enigerlei adequate deadline voor de aanvaarding van de producten.
3.5 Indien gerechtvaardigd heeft LumiraDx recht op gedeeltelijke leveringen voor zover redelijk.
4.1 LumiraDx kan bepalen van welk soort verzending er gebruik gemaakt wordt. Tenzij anders overeengekomen, worden alle producten verzonden LumiraDx Ex-Works, het verzendpunt van LumiraDx (Incoterms 2010)
4.2 Tenzij anders overeengekomen met de klant, wordt het risico op onopzettelijk verlies of beschadiging bij toeval aan de klant overgedragen nadat LumiraDx de producten heeft overgedragen aan de vervoerder, verzender of een andere persoon of instelling die is aangewezen om de zending uit te voeren.
4.3 Verzekeringen wordt alleen op verzoek en op kosten van de klant verkregen.
4.4 Leverings- en verzekeringskosten worden aan de contractprijs voor de goederen toegevoegd en zijn op hetzelfde moment en onder dezelfde voorwaarden als de contractprijs voor de goederen verschuldigd. Leverings- en verzekeringskosten worden op of na de contractdatum aan de klant gemeld.
5.1 Tenzij er een specifieke productprijs is overeengekomen, is de laatste prijslijst van LumiraDx (zoals van tijd tot tijd gewijzigd) van toepassing. LumiraDx behoudt zich het recht op een prijsaanpassing voor ingeval een levering later dan 4 maanden na de contractdatum plaatsvindt om redenen waarvoor de klant verantwoordelijk is.
5.2 Elke factuur moet op de aangegeven bankrekening binnen 30 dagen vanaf de factuurdatum zonder aftrek worden voldaan. Betaling betekent ontvangst van betaling door LumiraDx. Btw is altijd van toepassing tenzij er een geldig btw-vrijstellingscertificaat aan de leverancier wordt verstrekt.
5.3 Voor zover enig betalingsverzuim niet is veroorzaakt door een herinnering afkomstig van LumiraDx, zal de klant in elk geval in betalingsverzuim zijn vanaf 30 dagen na de vervaldatum en ontvangst van de factuur.
5.4 In geval van wanbetaling kan LumiraDx een rente van 4% p.j. bovenop de basisrentevoet in rekening brengen zoals per jaar vastgesteld door de Bank of England (zoals van tijd tot tijd van toepassing). Alle rechten om aanspraak te maken op aanvullende schadevergoedingen blijven onaangetast.
5.5 Als het voor LumiraDx na het afsluiten van een contract duidelijk wordt dat de prestatiecapaciteit van een klant in gevaar is, heeft LumiraDx het recht om open orders alleen tegen betaling vooraf of aanbetaling te leveren. Als verzoeken om vooruitbetaling of aanbetaling niet binnen een redelijke termijn worden afgehandeld, heeft LumiraDx het recht om het contract geheel of gedeeltelijk in te trekken, onverminderd haar overige rechten.
5.6 De klant is alleen gerechtigd tot verrekening van zijn tegenvorderingen indien deze onbetwist zijn of in kracht van gewijsde zijn gegaan.
5.7 De bestellende partij kan een retentierecht slechts doen gelden indien zijn tegenvordering op dezelfde overeenkomst berust en onbetwist is of bij declaratoire uitspraak is erkend.
5.8 LumiraDx behoudt zich het recht voor om te verzoeken om vooruitbetalingen van het factuurbedrag voordat het bestelde product geleverd wordt.
6.1 De garantierechten van de klant bestaan alleen als een klant naar behoren een redelijke inspectie heeft uitgevoerd en LumiraDx op de hoogte heeft gesteld van eventuele geconstateerde problemen.
6.2 In elk geval van een klacht van een klant met betrekking tot gebreken heeft LumiraDx het recht om de respectievelijke producten te inspecteren en te onderzoeken. De klant is gehouden LumiraDx voldoende tijd en gelegenheid te geven om zulks te doen. LumiraDx mag de klant in plaats daarvan erom verzoeken, de producten op kosten van LumiraDx te retourneren. In geval van een retourverzoek moeten de producten worden gedesinfecteerd en moeten alle toepasselijke specifieke gevarenvoorschriften in acht worden genomen. Als de klacht van de klant door opzet of grove nalatigheid onterecht blijkt te zijn, is de klant verplicht LumiraDx alle in dit verband veroorzaakte kosten te vergoeden – bijv. reis- en monteurskosten of verzendkosten.
6.3 In geval van wettelijke garantie heeft LumiraDx het recht gebreken naar haar keuze te verhelpen door middel van hetzij kosteloos herstel, hetzij door vervangende levering van een gebrekkig artikel, hetzij door kosteloze vervangende levering van het gehele gebrekkige product.
6.4 De klant is gehouden LumiraDx voldoende tijd en gelegenheid te geven om gebreken te verhelpen.
6.5 Als LumiraDx onderdelen heeft vervangen, gaat het eigendom van de vervangen onderdelen over op LumiraDx.
6.6 LumiraDx aanvaardt geen aansprakelijkheid voor schade veroorzaakt door ongepast of onjuist gebruik, foutieve montage, foutieve inbedrijfstelling, foutieve behandeling of foutieve installatie door de bestellende partij of die het gevolg is van normale slijtage, tenzij LumiraDx voor dergelijke schade verantwoordelijk is.
6.7 Materiaal-, verzend- en personeelskosten die ontstaan als gevolg van een herstel van gebreken (reparatie, vervangende levering) komen voor rekening van LumiraDx mits het gemelde gebrek is vastgesteld.
6.8 Indien het verhelpen van een gebrek (reparatie, vervangende levering) mislukt, kan de klant, naar eigen keuze, de overeenkomst opzeggen of een passende vermindering van de prijs verlangen.
6.9 De garantietermijn bedraagt voor nieuw vervaardigde producten 12 maanden en voor gebruikte producten 6 maanden vanaf de levering. Teststrips moeten voldoen aan de verstrekte productspecificaties.
6.10 Alle verdere vorderingen van de klant worden uitgesloten, tenzij anders bepaald in artikel 7.
6.11 Indien en voor zover productetiketten / bijsluiters voor specifieke producten verwijzen naar een langere garantiebeperkingsperiode dan bepaald in artikel 6.9, zal een dergelijke langere garantiebeperkingsperiode van toepassing zijn ten gunste van de klant.
6.12 Test strips en verbruiksartikelen hebben een beperkte houdbaarheidsdatum, respectievelijk een vervaldatum die op de productverpakking en/of in de productinformatie en/of in de producthandleiding wordt vermeld. Dergelijke producten mogen in geen geval na het verstrijken van de houdbaarheidsdatum of, respectievelijk, na de vervaldatum worden gebruikt.
7. Vergoedingen en beperking van aansprakelijkheid
(i) voor schade die met opzet of grove nalatigheid is veroorzaakt door LumiraDx of haar directeuren of plaatsvervangende agenten;
(ii) voor schade die is veroorzaakt door een schending van wezenlijke contractuele verplichtingen als gevolg van lichte nalatigheid, blijft de schade echter beperkt tot het schadebedrag dat in het kader van een dergelijk contract voorzienbaar was;
(iii) voor schadevergoedingen op grond van de voorschriften van het dwingend recht inzake aansprakelijkheid;
(iv) voor persoonlijk letsel dat verwijtbaar is veroorzaakt door LumiraDx of haar directeuren of agenten.
7.2 LumiraDx is niet aansprakelijk voor schade als geen van de in artikel 7.1 uiteengezette categorieën van toepassing is. LumiraDx kan niet aansprakelijk worden gesteld voor de gevolgen van een verkeerde wijziging of behandeling van de goederen, noch – in het bijzonder waar het medisch-technologische apparatuur betreft – voor schade die is veroorzaakt door het gebruik van ongeschikte reagentia of voor de gevolgen van gebrekkig onderhoud door de koper of een derde en evenmin voor gebreken die aan normale slijtage of transport te wijten zijn.
7.3 De artikelen 7.1 en 7.2 zijn van toepassing op alle schadeclaims, ongeacht de rechtsgrond ervan, en met name ook op elke aansprakelijkheid die voortvloeit uit onrechtmatige daden, een positieve schending van de contractuele plicht en schuld tijdens de onderhandelingen over het contract.
7.4 De bestellende partij is verplicht passende maatregelen te nemen om de schade te voorkomen of te beperken.
8.1 Met betrekking tot het gebruik of de aankoop van software zijn de voorwaarden van de eindgebruikersovereenkomsten (EULA’s) - inclusief maar niet beperkt tot de LumiraDx Platform Softwarelicentie - met betrekking tot dergelijke software van toepassing.
8.2 De Klant mag de producten uitsluitend voor eigen gebruik aanschaffen en mag de producten niet doorverkopen of overdragen aan een andere partij. De Klant verklaart dat deze de producten heeft geëvalueerd en aanvaardbaar en klinisch geschikt heeft bevonden in het kader van de beoogde doeleinden.
8.3 In geval van betalingsverzuim met betrekking tot de producten en/of diensten van LumiraDx is LumiraDx gerechtigd de toegang tot of het gebruik van de LumiraDx Instruments op te schorten of te beëindigen totdat de betaling is verricht.
8.4 Handelsmerken en Handelsnamen. Alle verkopen en verhuren worden gedaan met dien verstande dat de handelsmerken, Handelsnamen en originele verpakkingen van LumiraDx niet mogen worden misbruikt.
Indien de klant geleverde producten verkoopt, hetzij in ongewijzigde vorm, hetzij na deze te hebben gecombineerd met andere goederen, vrijwaart de klant LumiraDx intern van vorderingen van derden met betrekking tot productaansprakelijkheid, voor zover de klant aansprakelijk is voor het aansprakelijkheid jegens derden veroorzakende verzuim.
Indien de klant door middel van instructies, informatie, documenten, ontwerpen of tekeningen bepaalt hoe LumiraDx te leveren producten zal vervaardigen, is de klant er verantwoordelijk voor dat de rechten van derden waaronder zoals octrooien, gebruiksmodellen of andere intellectuele eigendomsrechten en auteursrechten niet door LumiraDx worden geschonden. De klant vrijwaart LumiraDx van alle vorderingen van derden, die deze mogelijk tegen LumiraDx als gevolg van een dergelijke schending ten uitvoer leggen.
11.1 Wijzigingen en aanpassingen aan het contract en/of deze AV evenals nevenovereenkomsten moeten in schriftelijke vorm geschieden. Dit is ook van toepassing op dit artikel 11.1.
11.2 Indien een bepaling van deze overeenkomst en/of deze AV geheel of gedeeltelijk ongeldig of ondoeltreffend is, laat zulks de geldigheid of doeltreffendheid van de overige bepalingen onverlet. In dat geval zijn de partijen verplicht de ongeldige en nietige bepaling te vervangen door een geldige en nietige bepaling die het beoogde commerciële doel van de ongeldige of onwerkzame bepaling zo dicht mogelijk benadert. Indien en voor zover algemene voorwaarden, met inbegrip van garanties en garantiebeperkingen in productetikettering en/of productbijsluiters in strijd zijn met deze AV, heeft de AV voorrang, behalve in gevallen waarnaar wordt verwezen in artikel 6.11.
11.4 Op dit contract is de wetgeving van Engeland en Wales van toepassing, waarbij geldt dat dit contract dienovereenkomstig dient te worden geïnterpreteerd, en de klant onderwerpt zich hierbij voor alle doeleinden van en in verband met deze overeenkomst aan de exclusieve bevoegdheid van de Schotse rechtbanken.

General Terms and Conditions where LumiraDx is the Purchaser of Goods and/or Services from a Supplier
1. Scope
1.1 These General Terms and Conditions where LumiraDx is the purchaser of goods and/or services from a Supplier (referred to as “T&Cs”) of LumiraDx UK Ltd and its affiliates (referred to as “LumiraDx,” “We” and “Our”), are incorporated herein by reference. These T&C may be amended from time to time.
1.2 These T&Cs may apply when LumiraDx is being supplied with goods and/or services from a Supplier (referred to as “Supplier”). When LumiraDx contracts with a Supplier, We may not always enter into a contract with these T&Cs or Our own supply agreement template. Each transaction that We enter into with a Supplier may or may not differ from these T&Cs on Our website.
1.3 The relationship between LumiraDx and a Supplier should not be confused with a relationship when LumiraDx is selling goods to its customers. When LumiraDx is the seller, please refer to the “Terms and Conditions of Purchase” on Our Website for reference, Instrument Purchase Terms & Conditions (lumiradx.com).
2. Purchase Order Acceptance
2.1 We will assume that Supplier has accepted a Purchase Order from Us when We receive written confirmation of the price and delivery date.
2.2 If We do not hear from Supplier within 5 days of Supplier receiving a Purchase Order from Us, We will assume that Supplier has accepted the Purchase Order.
3. Modification of Purchase Order
3.1 We may request a modification to a Purchase Order after placing it. In such event, Supplier will let Us know within 10 days if the modification affects the price and delivery date.
3.2 We have the right to cancel a Purchase Order or proceed with a modification to a Purchase Order.
4. Cancellation of Purchase Order
4.1 We may cancel the Purchase Order as follows:
4.1.1 We may cancel the Purchase Order prior to Supplier’s acceptance of the Purchase Order;
4.1.2 We may cancel the Purchase Order by giving Supplier notice in writing. In such event, We will pay for the Goods delivered or the services performed on the date of the notice of cancellation, as well as any direct charges occurring from such cancellation of the Purchase Order;
4.1.3 We may cancel the Purchase Order if Supplier is in breach of these T&Cs;
4.1.4 We may cancel the Purchase Order if Supplier: (i) makes a voluntary arrangement with its creditors (within the meaning of the Insolvency Act 1986), (ii) or (being an individual or firm) Supplier becomes bankrupt, (iii) or (being a company) Supplier becomes subject to an administration order, (iv) or Supplier goes into liquidation (otherwise than for the purpose of amalgamation or reconstruction);
4.1.5 We may cancel the Purchase Order if an encumbrancer takes possession, or a receiver is appointed, of any of the property or assets of Supplier;
4.1.6 We may cancel the Purchase Order if Supplier ceases, or threaten to cease, to carry on business; or
4.1.7 We may cancel the Purchase Order in accordance with clause 3.2.
4.1.8 We may cancel this Purchase Order in accordance with clause 17.2.
5. Delivery
5.1 Supplier shall not deliver the goods in instalments without Our permission.
5.2 Supplier will deliver the goods to the delivery address provided in the Purchase Order during Our usual business hours.
5.3 Supplier will specify the date of delivery of the goods to Us after receiving the Purchase Order.
5.4 The following items should accompany each delivery of the goods: (i) a packing note quoting the Purchase Order number, (ii) any required quality documentation, (iii) and a safety data sheet (if applicable).
5.5 Supplier shall comply with all delivery, delivery documentation, packaging, labelling and security requirements relating to the goods, including where the goods are regulated products, any such requirements imposed by the relevant regulations.
5.6 If the delivery will be late, Supplier shall notify Us.
6. Specification
The quantity, quality and description of the goods shall be as specified in the Purchase Order and/or any material specification that We provide to Supplier.
7. Inspection
7.1 We may reject goods that have been delivered and that do not comply with the specification and/or the description in the Purchase Order.
7.2 We shall have a reasonable time to inspect the goods following delivery.
8. Price
8.1 The price of the goods and/or services shall be as stated in the Purchase Order and shall be:
8.1.1 Exclusive of any applicable VAT, (which shall be payable by Us on receipt of a VAT invoice);
8.1.2 Inclusive of charges for packaging, packing, shipping, carriage, insurance and delivery of the goods to the delivery address, and any other duties or levies due, where applicable other than VAT.
8.2 Supplier will invoice Us on or at any time after delivery of the goods or on completion of the services, unless otherwise agreed between the parties.
8.3 Supplier’s invoice to Us should quote the Purchase Order number.
8.4 We shall pay any undisputed invoice within 60 days after receipt of a properly rendered invoice from Supplier.
8.5 We may set off against the price any sums owed to Us by Supplier.
9. Quality Requirements
9.1 Supplier shall comply with all applicable laws concerning the manufacture, packaging, packing and delivery of the goods, including where the goods are regulated products all cGMP guidelines and regulations that apply to the goods.
9.2 Supplier will obtain and maintain in force all licences, permissions, authorisations, consents, permits and any appropriate quality agreements required to manufacture and supply the goods ordered under the relevant Purchase Order.
9.3 Supplier will make the goods in accordance with Our instructions and any applicable regulations or requirements of the carrier, and shall properly package and secure the goods, to prevent the goods from being damaged during transit.
9.4 Supplier shall maintain and provide to Us on request, evidence of a quality system in relation to the goods.
10. Change Control
10.1 Supplier agrees to inform Us of any change to the quality, specification, quantity or manufacturing process of the goods. Examples of change control event includes: (i) changes in packaging of the goods, shipping, labelling of product and containers, (ii) changes that affect the functionality, quality, reliability or status of the material used to make the goods, (iii) reduced inspections, (iv) supplier site changes, (v) changes in subcontracted supply, (vi) equipment changes, (vii) validation changes, and (viii) loss of Supplier’s certification.
10.2 Supplier shall give Us prior notice of any of the change(s) mentioned in clause 10.1 as soon as reasonably practicable and only implement the change with Our permission.
10.3 Supplier should not ship the goods or any subsequent goods to Us, until We have approved the change mentioned in accordance with clause 10.1.
10.4 Notices regarding change control events should be sent to Us at: qateam-dumyat@lumiradx.com.
11. Risk and Title to the Goods
11.1 Title to the goods shall pass to Us upon delivery, unless payment for the goods is made by Us prior to delivery, in such instance title to the goods shall pass to Us once payment has been made.
11.2 Risk in the goods shall pass to Us upon delivery, regardless of the time of payment.
12. Warranty
12.1 Supplier warrants to Us that the goods:
12.1.1 will be of satisfactory quality (within the meaning of the Sale of Goods Act 1979, as amended, where applicable), and will be fit for any purpose held out by Supplier at the time the Purchase Order is placed;
12.1.2 will be free from defects in design, material and workmanship;
12.1.3 will correspond with any specification or sample; and
12.1.4 will comply with all statutory requirements and regulations relating to the sale of the goods.
12.2 Supplier warrants to Us that the services, if applicable, will be performed with due skill and care and in-line with generally accepted standards in the industry.
12.3 Supplier warrants that the goods, if regulated products, are suitable for use.
12.4 Without limiting any other remedy, if any goods and/or services are not performed or supplied in accordance with these T&Cs We shall be entitled:
12.4.1 to require that Supplier repairs the goods or to supply replacement goods in accordance with a reasonable time period; or
12.4.2 at Our option, to treat the Purchase Order as discharged by Supplier’s breach and require repayment of any part of the price which has been paid; or
12.4.3 require the services to be re-performed at Supplier’s cost.
12.5 Clause 12 applies for twelve (12) months from the date of Our receipt of the goods or completed services.
12.6 Supplier will reimburse Us for the transport costs of returning any defective goods.
13. Liability
13.1 Supplier shall indemnify Us in full against all liability, loss, damages, costs and expenses (including legal expenses), awarded against or incurred or paid by Us as a result of or in connection with:
13.1.1 breach of a warranty relating to any product specifications and/or manuals provided to Us by Supplier in relation to the goods;
13.1.2 any claim that the goods infringe, or their importation, use or resale, infringes, the patent, copyright, design right, trade mark or other intellectual property rights of any other person, except to the extent that the claim arises from compliance with any specification supplied by Us;
13.1.3 any liability under the Consumer Protection Act 1987 in respect of the goods; and
13.1.4 any act or omission of Supplier or Supplier’s employees, agents or sub-contractors in supplying, delivering and installing the goods.
14. Health and Safety
If Supplier requires to attend Our premises (to deliver goods or to carry out services), Supplier shall comply with Our health and safety requirements and any applicable Laws relating to Health and Safety.
15. Insurance
15.1 Supplier shall maintain insurance in-line with industry standards, as applicable to Supplier’s business.
15.2 On Our written request, Supplier shall provide Us with copies of the insurance policy certificates and details of the cover provided.
16. Confidentiality and Intellectual Property
16.1 Each party undertakes that it shall not at any time during this engagement and for a period of two (2) years after termination of this engagement disclose to any person any confidential information disclosed to it by the other party concerning the business or affairs of the other party or of any member of its group, including information relating to a party's operations, processes, plans, product information, know-how, designs, trade secrets, software, market opportunities and customers (referred to as “Confidential Information”).
16.2 Each party may disclose the other party’s Confidential Information:
16.2.1 to its employees, officers, agents, consultants or subcontractors (referred to as “Representatives”) who need to know such information for the purposes of carrying out the party's obligations under these T&Cs, provided that the receiving party takes all reasonable steps to ensure that its Representatives comply with the confidentiality obligations contained in this clause. The receiving party shall be responsible for its Representatives' compliance with the confidentiality obligations set out in this clause; and
16.2.2 as may be required by law, court order or any governmental or regulatory authority.
16.3 We reserve all rights in Our Confidential Information. No rights or obligations in respect of Our Confidential Information other than those expressly stated in these T&Cs are granted to Supplier or are to be implied from these T&Cs. In particular, no licence is hereby granted directly or indirectly to Supplier under any patent, invention, discovery, copyright or other intellectual property right held, made, obtained or licensable by Us or in the future.
16.4 We do not grant Supplier any rights to any of Our intellectual property.
17. Force Majeure
17.1 If either of Supplier or Us is prevented from performing any obligations under these T&Cs, due to circumstances beyond Supplier or Our control, for example due to: (i) an act of God, explosion, flood, tempest or fire; (ii) war or threat of war, sabotage, insurrection, civil disturbance or requisition; (iii) acts, restrictions, regulations, bye-laws, prohibitions or measures of any kind on the part of any governmental, parliamentary or local authority, (iv) import or export regulations or embargoes, (v) strikes, lock-outs or other industrial actions or trade disputes, neither Us nor Supplier will be liable to the other party.
17.2 We may cancel any Purchase Orders affected by an event of force majeure.
18. Subcontracting and Assignation
18.1 We may perform any of the obligations or exercise any of the rights in these T&Cs through any of Our affiliates.
18.2 If Supplier assigns or transfer to any other person any of Supplier’s rights or sub-contract any of Supplier’s obligations under these T&Cs, Supplier shall obtain Our prior consent beforehand.
18.3 Supplier shall be responsible for the acts and omissions of any sub-contractors that Supplier uses in connection with these T&Cs.
19. Modern Slavery and Human Trafficking
19.1 In connection with these T&Cs, Supplier shall comply with all applicable laws relating to modern slavery or human trafficking, including the Modern Slavery Act of 2015, and take reasonable steps to ensure that Supplier will not engage in human trafficking or slavery in Supplier’s workforce and will require Supplier’s employees take reasonable precautions to avoid buying from subcontractors who engage in human trafficking or slavery.
19.2 Supplier warrants that Supplier is an ethical manufacturer, where applicable, and that Supplier maintains good business practices to prevent human trafficking or slavery issues, including:
19.2.1 selecting only subcontractors with a good business reputation, and
19.2.2 abiding by all relevant local laws (which would include human trafficking and slavery laws).
20. Precedence
20.1 In the event of a conflict between any term or condition contained in these T&Cs and a term or provision of any supply agreement between LumiraDx and Supplier, the applicable terms and provisions of the supply agreement will govern and prevail.
20.2 If We agree to any modifications to be made to these T&Cs, the modified terms and conditions will apply equally to these T&Cs, however in the event of any conflict the modified terms and conditions shall take precedence.
20.3 If LumiraDx agrees in writing to enter into the contract based on Supplier’s T&Cs, and there is a conflict between these T&Cs and Supplier’s terms and conditions, the Supplier’s terms and conditions shall take precedence.
21. English Language
21.1 In the event of a translation of these T&Cs, the English version of these T&Cs represents the understanding of LumiraDx and Supplier.
21.2 In the event of conflict between any translation of these T&Cs, the English version will prevail.
22. Governing Law and Dispute Resolution
These T&Cs shall be governed by the laws of Scotland, Supplier agrees to submit any disputes concerning these T&Cs to the non-exclusive jurisdiction of the Scottish courts.
